Terms and conditions

These GeoAI Hack Terms and Conditions (“Terms”) apply to you (“you”) should you register for and/or attend InstaDeep Ltd’s ( “we,” “us” or “our”) GeoAI Hack event (“GeoAI Hack”).

By submitting your application for GeoAI Hack, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not participate in GeoAI Hack. Failure to comply with these Terms may result in your removal from the GeoAI Hack at any time at our sole discretion.

Eligibility: GeoAI Hack is open to individuals who are at least 18 years old or of legal age in their jurisdiction of residence. Our employees, their immediate family members and our partners are not eligible to participate. Any additional criteria may be included in the application form provided at the time of application. 

Registration: Participants must apply for any GeoAI Hack through the official registration process provided by us. Applying may require providing personal information such as name, email address, contact number, occupation including a CV. By applying, you agree to provide accurate and truthful information. You understand and agree that submitting an application does not guarantee participation in GeoAI Hack and we reserve the right to accept or reject any application.

Code of Conduct: Participants must adhere to a high standard of conduct throughout GeoAI Hack. You agree to abide by and comply with all applicable laws, regulations, our policies and procedures including our Code of Conduct, as well as any policies or procedures that may be provided or explained to you at or prior to the GeoAI Hack event. If you do not agree to comply with our Code of Conduct at all times, you cannot participate in GeoAI Hack. Failure to comply with our Code of Conduct may result in your removal from GeoAI Hack at any time at our sole discretion.

GeoAI Hack Schedule: Any information that we provide about GeoAI Hack schedule is non-binding and we reserve the right to modify the schedule and speakers at any time without any liability to you.

Photography and Recordings: 

Confidentiality: You may be exposed to confidential information during your attendance of GeoAI Hack . You agree: (i) to use reasonable measures to maintain the confidential information in strict confidence; and (ii) not to disclose the confidential information to any third parties.

Upon our request, you will promptly return to us or destroy all confidential information and all reproductions or summaries thereof and extracts therefrom. We retain all right, title and interest in and to our confidential information. 

Intellectual Property: All intellectual property developed during GeoAI Hack, including but not limited to, any and all solutions, ideas, feedback, derivatives and/or output provided by you shall to the extent permitted by law be owned by us or our licensors that own the datasets, materials or other data used as part of the GeoAI Hack. You grant us a non-exclusive, royalty-free, perpetual licence to use, reproduce, modify, and distribute your submitted materials for promotional, marketing, and other business and commercial purposes, including but not limited to sharing these with our affiliates. 

You further acknowledge that others attending GeoAI Hack, including us, may develop similar methodologies, tools, models, software, documentation, know-how, trade secrets, inventions, or works of authorship, or any other form of intellectual property during or after GeoAI Hack, including works inspired by GeoAI Hack projects, on a royalty free basis.   

We maintain all right, title, and interest in and to our Background Intellectual Property. “Background Intellectual Property” means registered and unregistered proprietary methodologies, tools, models, software, documentation, know-how, trade secrets, inventions, or works of authorship, or any other form of intellectual property conceived or developed by us or our licensors (a) prior to GeoAI Hack and (b) independent of GeoAI Hack.

You must ensure that your submissions do not infringe upon any intellectual property rights or other third-party rights.

Privacy: All digital data or information provided in connection with GeoAI Hack may be used (saved, stored, processed, transmitted and deleted) by us in accordance with our Privacy Policy, which is hereby incorporated by reference into these Terms.

Security: To ensure the safety of all attendees and participants, we reserve the right to take any security measures we deem appropriate. You will comply with all such reasonable security measures.

Judging and Prizes: GeoAI Hack projects will be judged based on predetermined criteria by a panel of judges selected by us. The decision of the judges is final. Prizes, if any, will be awarded to the winning participants or teams as communicated to the participants during GeoAI Hack.

Liability: To the fullest extent permitted by law, in no event will we be liable to you for any indirect, incidental, special, consequential, or punitive damages in connection with GeoAI Hack, even if notified orally or in writing of the possibility of such damage. To the fullest extent permitted by law, our aggregate liability to you for all claims arising out of or relating to these Terms, whether in contract, tort, or otherwise, is limited to £1. Attendance at the GeoAI Hack venue is at your own risk, and any liability arising from the venue itself rests solely with the venue provider.

Indemnification: You agree to defend, indemnify, and hold harmless us and our respective affiliates, directors, officers, employees, suppliers, vendors and agents from and against any and all claims or demands, including reasonable attorneys’ fees, arising out of or connected to your GeoAI Hack participation or your violation of these Terms, applicable law, or any proprietary or privacy right of any other person attending GeoAI Hack.

Modification and Termination: We reserve the right to modify, suspend, or terminate GeoAI Hack at any time for any reason without prior notice. We also reserve the right to revise, make exceptions to, or otherwise amend these Terms in whole or in part. We will not be responsible for any travel, accommodation, or other expenses incurred by you in connection with GeoAI Hack, nor for any losses suffered as a result of its modification, suspension, or cancellation. In addition to these Terms and the Code of Conduct, additional terms may apply in connection with your participation in the GeoAI Hack event, including but not limited to governing your access to and use of any materials or data provided as part of GeoAI Hack. You will be required to review and agree to these additional terms as a condition of participation in GeoAI Hack.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales. The Courts of London shall have exclusive jurisdiction to deal with any dispute which has arisen or may arise out of, or in connection with these Terms or the GeoAI Hack. 

Miscellaneous: These Terms constitute the entire agreement between us and you with respect to GeoAI Hack and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written between you and us with respect to GeoAI Hack. If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
